Terms of Service

1. Acceptance of Terms

These Terms of Service (Terms) constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Hefei Buge Liewei Network Technology Co., Ltd., operating under the brand name Patch List (Patch List, we, us, or our), concerning your access to and use of the website located at https://www.patchlist.autos (the Site) and any related services provided by Patch List.

By accessing or using the Site, you represent and warrant that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

The Site is intended for users who are at least eighteen (18) years of age. By using the Site, you represent and warrant that you are at least 18 years old. Persons under 18 are not permitted to use or register for the Site.

2. Description of Services

Patch List provides computer systems design services for the automotive industry, including but not limited to electronic control unit (ECU) programming solutions, vehicle diagnostic systems, Controller Area Network (CAN) bus integration, embedded systems architecture design, fleet management platforms, and compliance testing tools. The Site serves as an informational platform describing our services and as a means for prospective clients to contact us.

2.1 No Guarantee of Availability

We strive to keep the Site available and functioning properly. However, we do not guarantee uninterrupted access. The Site may be temporarily unavailable due to maintenance, upgrades, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without prior notice.

3. Intellectual Property Rights

3.1 Our Intellectual Property

Unless otherwise indicated, the Site and all content, features, and functionality on the Site — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, code, data compilations, page layout, and design (collectively, the Content) — are the exclusive property of Patch List, its licensors, or other providers and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws of the People's Republic of China, the United States, and international conventions.

The Patch List name, the Patch List logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Patch List or its affiliates. You may not use such marks without our prior written permission.

3.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial informational purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content except as expressly permitted by these Terms or with our prior written consent.

4. User Representations and Obligations

By using the Site, you represent and warrant that:

  • All information you submit through the Site (including contact form submissions) is truthful, accurate, current, and complete.
  • You will maintain the confidentiality of any account credentials if such features are introduced.
  • Your use of the Site will comply with all applicable laws, regulations, and industry standards.
  • You will not use the Site for any illegal, fraudulent, or unauthorized purpose.

You represent that you own or have the necessary rights to any content you submit, and that such content does not violate the rights of any third party or any applicable law.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. 7. Disclaimer of Warranties

THE SITE AND ALL CONTENT, SERVICES, AND INFORMATION PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PATCH LIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, PATCH LIST MAKES NO WARRANTY THAT:

  • The Site will meet your requirements or expectations.
  • The Site will be available on an uninterrupted, timely, secure, or error-free basis.
  • The information provided on the Site is accurate, complete, reliable, or current.
  • Any defects or errors in the Site or its Content will be corrected.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PATCH LIST, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:

  • Your use or inability to use the Site.
  • Any conduct or content of any third party on the Site.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Any errors or omissions in the Content.

IN NO EVENT SHALL PATCH LIST'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00). THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PATCH LIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Patch List, its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of, or inability to use, the Site.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property rights.
  • Any content or information you submit through the Site.
  • Your violation of any applicable law or regulation.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

10.2 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at song.m@patchlist.autos and attempt to resolve the dispute informally. We will similarly attempt to resolve any dispute with you informally before initiating formal proceedings.

10.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, that cannot be resolved informally within sixty (60) days shall be submitted to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules then in effect. The arbitration shall be conducted in Hefei, Anhui, China, in the English language, by a single arbitrator. The arbitral award shall be final and binding on both parties.

11. Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, warranty disclaimers, indemnification, and limitations of liability.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Patch List regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

12.3 Waiver

No waiver by Patch List of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Patch List to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Patch List may assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.

12.5 Force Majeure

Patch List shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, embargo, acts of civil or military authorities, fire, flood, accident, strike, labor shortage, telecommunications failure, or Internet infrastructure disruption.

12.6 Changes to These Terms

We reserve the right to modify or replace these Terms at any time. When we make material changes, we will update the Last Updated date at the top of this page and post a notice on the Site. Your continued use of the Site after such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.
